4. Intellectual Property Rights
Client Materials

Work Product
Upon full payment, ownership of final approved deliverables transfers to the client, unless otherwise specified.
IndiWork retains the right to showcase completed work in portfolios, case studies, and marketing materials unless agreed otherwise in writing.
Pre-Existing Materials
IndiWork retains ownership of proprietary tools, frameworks, templates, code libraries, and methodologies used during project execution.
5. Revisions & Approvals
- Revision rounds are defined per project scope.
- Additional revisions beyond the scope may incur extra charges.
- Client approval is required at key milestones.
- Approved work is considered final and billable.
6. Confidentiality
Both parties agree to maintain the confidentiality of all non-public business, technical, and proprietary information exchanged during the engagement, unless disclosure is required by law.
7. Third-Party Services & Platforms
IndiWork may integrate or recommend third-party tools, platforms, or services (e.g., hosting, analytics, advertising platforms).
We are not responsible for outages, changes, or policies of third-party providers.
8. Marketing & Performance Disclaimer
While we apply best practices and proven strategies, IndiWork does not guarantee specific rankings, traffic levels, conversions, or revenue outcomes.
Digital marketing results depend on multiple factors beyond our control, including market conditions, competition, platform algorithms, and client decisions.
9. Limitation of Liability
- IndiWork shall not be liable for indirect, incidental, special, or consequential damages.
- Total liability shall not exceed the fees paid for the specific service giving rise to the claim.
- We are not responsible for data loss, security breaches, or downtime beyond reasonable control.
10. Indemnification
Clients agree to indemnify and hold IndiWork harmless from claims arising from:
- Client-provided content or materials
- Violation of intellectual property rights
- Misuse of services
- Failure to comply with applicable laws or regulations
11. Termination
Upon termination:
- Outstanding invoices become immediately payable.
- Work completed up to termination remains billable.
- Access to deliverables may be withheld until payment is received.
12. Privacy & Data Protection
Use of our website and services is also governed by our Privacy Policy, including GDPR, CCPA/CPRA, and India DPDP Act compliance.
